The government has increased the authorized capital of 2TDK, Project Development Company, LLC

Pursuant to Article 6 of the Act on the Construction, Operation, and Management of the Second Track of the Divača–Koper Railway Line (ZIUGDT), the Government of the Republic of Slovenia exercises the rights of the Republic of Slovenia as a shareholder in the company 2TDK.

Pursuant to Article 30 of the ZIUGDT, 2TDK secures financing for the construction of the second track from the following sources:

• shareholders’ paid-in share capital;

• any other capital contributions by the sole shareholder;

• loan funds;

• funds from the European Union budget.

On February 20, 2025, the Government, as the sole shareholder of 2TDK, 2025, adopted the 2TDK Business Plan for the period from 2025 to 2027, which provides for a capital injection of 21,750,000 euros for 2025 for the project to construct the parallel left-hand track. The Ministry of Finance issued a letter of intent dated January 14, 2025, confirming that the Republic of Slovenia has reserved funds in the national budget for the purpose of constructing the parallel left-hand track of the Divača –Koper, has reserved funds in the state budget for the recapitalization of the company 2TDK in the total amount of 43.5 million euros, specifically 21,750,000 euros for the year 2025 and 21,750,000 euros for the year 2026, therefore, a resolution to increase the share capital by 21,750,000 euros for the parallel left track and an amount corresponding to the toll surcharge collected in 2025—which will be used to finance the right track (the track currently under construction)—will be submitted to the general meeting for approval next year.

The third paragraph of Article 36 of the ZIUGDT stipulates that, until the second track begins operations, the Republic of Slovenia shall, by the end of February each year at the latest, contribute the toll surcharges paid into the budget of the Republic of Slovenia in the previous year to the company’s share capital. On January 3, 2025, 2TDK received a notification from the Ministry of Finance regarding inflows of funds from the toll surcharge, stating that a total of 13,240,655.56 euros had been transferred from this source in 2024.

With the proposed resolution, the share capital of 2TDK is thus increased by a total of €34,990,655.56. Following the capital increase, the share capital of 2TDK amounts to €498,337,652.27.
